The APRN will perform the usual and customary clinical services of an advanced practice registered nurse to include, in collaboration with supervision physicians, the diagnosis, examination, consultation, and treatment of in-patients and hospital setting to all persons who present for same. APRN shall, from the effective date and during the entire term of a contractual Agreement: maintain suitable character and fitness such that he shall be able to successfully pass a background investigation to the satisfaction of ARH, in its sole discretion, and shall, on demand, cooperate with and pass drug screening as may be required by ARH in its sole discretion; is duly licensed to practice his/her profession in each State in which he or she is required to be licensed to provide Services hereunder; maintains all registrations, certificates, authorizations (including those related to controlled substances) and medical staff privileges necessary to perform the Services in an appropriate manner; has not been sanctioned by or excluded from participation in any federal or state healthcare program; will conduct himself/herself and perform the Services in accordance with the standards identified in paragraph 9 hereof; and except as was disclosed to ARH in writing prior to execution of this Agreement, has never: 1. been convicted of a crime 2. been found guilty of medical malpractice or had such claims asserted against him/her; 3. had any sanction or negative action taken with respect to his/her staff privileges by any healthcare institution; 4. had any sanction or negative action taken with respect to his/her medical license, controlled substance authorization (DEA or otherwise), medical malpractice insurance eligibility, or membership in any medical society, board, or organization; or 5. been investigated by any governmental authority relative to the provision of medical services or the billing thereof or for a violation of any anti-kickback or self-referral laws or fee splitting laws. APRN represents and warrants at all times during the Term of an Agreement that APRN will immediately disclose to ARH if any of the representations or warranties set forth in this Section 4 becomes untrue or was untrue at any time during the Term hereof or at any time during the three (3) years prior to the Effective Date of this Agreement. Medical Records: The APRN will adequately and legibly document in a timely manner, the performance of clinical services in patient medical records in accordance with all prevailing laws, standards, and ARH policies including, but not limited to, documentation adequate for ARH to properly and timely bill for the services. Medical Staff Activities: If required by the medical staff bylaws, the APRN shall maintain clinical privileges at the Primary Practice Site Hospital and be an active participant in organized APRN staff activities. Practice Guidelines, Patient Care Protocols, & ARH Forms: The APRN will follow any ARH practice guidelines and patient care protocols and utilize ARH-prescribed forms. Continuing Medical Education: The APRN will maintain and advance his/her skills through appropriate continuing medical education and participate in ARH continuing medical education programs. Program Participation: The APRN will actively participate in and cooperate with ARHxe2x80x99s risk management, compliance, utilization review, peer review, accreditation, quality improvement, length of stay, coding, education, and other programs. Work Schedule: This is a professional-level, overtime-exempt position. The APRNxe2x80x99s work schedule will recognize patient needs, is expected to equal or exceed the average for his specialty, will be in accordance with the normal ARH schedules for the Primary Practice Site(s), and in no event shall be less than 40 hours per week. Supervision of Others: The APRN will exercise clinical supervision of certain ARH support personnel assigned to APRN. Administrative Duties: The APRN will perform such administrative functions associated with or related to his/her clinical practice and operation of the Primary Practice Sites as ARH may reasonably request from time to time. Reports: The APRN will prepare such reports concerning the performance of his/her duties as ARH may reasonably request from time to time. Non-Discrimination: The APRN will not discriminate against patients, co-workers, other medical staff, or any other individual related to the APRNxe2x80x99s practice or his/her employment with ARH on the basis of race, sex, religion, age, qualified disability, national origin, association with a federal or state healthcare benefit program, or any other characteristic prohibited by law. Professionalism: The APRN will at all times conduct himself/herself in a professional manner including, but not limited to, matters of appearance and communication with patients, co-workers, staff, ARH administrative personnel, visitors, contractors, and any other individual relative to the APRNxe2x80x99s practice and ARHxe2x80x99s operations and will strive to cultivate a collegial team atmosphere for the proper delivery of healthcare services to patients.
